Please read the following Terms of Use (“Terms”) carefully before using this Site so that you (“You”, “Your” or the “User”) are aware of Your legal rights and obligations with respect to RUNI Ventures and its affiliates (“RUNI Ventures” or “We”). These Terms govern the relationship between RUNI Ventures and any person who browses or uses the Site and any service or information included therein. In the event of contradiction or discrepancy between the Terms and other provisions published in any other media, these Terms shall prevail. We reserve the right, at our discretion, to modify these Terms, which modification will be effective 10 days following the posting of the modification to the Site, and will apply to causes of action arising after the effective date of the change. We will inform You regarding such modifications by posting such latest changes on the Site. You should continue checking the Site for changes. Your continued use of this Site 10 days following the posting of changes to these Terms will mean You accept those changes.

By using or visiting this Site, including without limitation contributing to or viewing the Site’s Content (as defined below), You signify Your assent to (1) these Terms of Use; and (2) RUNI Ventures’ Privacy Policy (“Privacy Policy”). These Terms apply to all users of the Site. If You do not agree to these Terms or the Privacy Policy, then please do not access or otherwise use the Site or any information contained herein.

2. Limitation of Use

Without derogating against the foregoing, RUNI Ventures shall be entitled to prevent a User from making any use of the Site in any of the following cases: (i) the User has committed an illegal act and/or has violated the provisions of any applicable law; (ii) the User violated any of the provisions of these Terms; and/or (iii) the User has committed an act or omission that may damage or harm RUNI Ventures and/or anyone on its behalf and/or any third party, including other users of the Site or the proper operation of the Site.

3. Business Plans and Other Information Provided By You

We welcome unsolicited business plans. However, any information or materials that you consider trade secrets, confidential or proprietary should not be submitted to us. Absent an express written agreement to the contrary, any information or materials that you provide to us will not be considered confidential or proprietary and will not be returned or safeguarded. We reserve the right to turn down investment opportunities in our sole discretion. We receive many similar plans and ideas, and your idea may already have been submitted to us or be under consideration by us. We are not limited or restricted in any way from pursuing opportunities with others. Our personal information collection, storage, and use policies with respect to this Site are set in our Privacy Policy, which is incorporated in the Site by reference for all purposes.

Without derogating against the foregoing, the use of the Site shall be subject to the following:

The information and content published on the Site shall not be used for publication or display on the internet and/or in any other service without the prior written approval of RUNI Ventures.

The User undertakes not to make changes and/or interfere in any way with the source code of the Site and/or the information and/or contents contained therein and not to upload any software and/or applications that may harm or cause damage to the Site and/or RUNI Ventures and/or any third parties.

You expressly agree that your use of the Site and Site Content is at your sole risk. Neither we nor any of our directors, officers, employees, agents, or content or service providers warrant that use of the Site will be uninterrupted or error free. 9. Limitation of Liability

In no event, including but not limited to negligence, shall we, or any of our directors, officers, employees, agents, or content or service providers (collectively, the “Protected Entities”) be liable for any of the following:

Any expenses, losses or indirect damages, consequential or circumstantial damages (including financial loss, losses of profits, losses of business opportunities, reputation losses, impairment of value, etc.), suffered by the User or any third party in connection with the use of the Site and/or act or omission of the Protected Entities with respect to the Site.
Any malfunction and/or delay and/or disruption affecting the use of the Site (including in any communication device, internet network and/or cellular networks) and any expense, loss or damage caused for any reason not under the direct control of RUNI Ventures, including as a result of a court order, government authority instruction, communications system shutdown, earthquake, storm, fire, flood, explosion, accident, epidemic, strike, riot, war, terror acts or embargo.
Any expense, loss or damage caused in connection with any acts or omissions of the User and/or of third parties, including communication service providers.
Any expense, loss or damage caused in connection with attacks, hacking, infiltration of information or other unauthorized access via a communication line or other communications network.
Any expense, loss or damage caused to the User as a result of updating, cancellation or removal of content from the Site and/or shutdown of the Site for periods of time for conducting maintenance works and/or upgrades.

10. General

RUNI Ventures reserves the right to discontinue or modify any aspect of the Site at any time.
These Terms, the Privacy Policy and the relationship between You and RUNI Ventures shall be governed by and construed in accordance with the laws of Israel, without regard to its principles of conflict of laws. You and RUNI Ventures agree to submit to the personal and exclusive jurisdiction of the courts located in Israel and waive any jurisdictional, venue, or inconvenient forum objections to such courts.
These Terms, together with the Privacy Policy and any other legal notices published by RUNI Ventures on the Site, shall constitute the entire agreement between You and RUNI Ventures concerning the Site.
If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and a party’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
You and RUNI Ventures agree that any cause of action arising out of or related to the Site must commence within 6 months after the cause of action accrues. Otherwise, such cause of action is permanently barred.
RUNI Ventures may, at its sole discretion and subject to applicable law, update and/or cancel and/or remove any application, service, product or content from the Site from time to time, immediately and without prior notice, as it deems necessary or appropriate, and the User shall have no claim and/or demand in connection therewith.
